A series LLC is a unique form of LLC that enables a hierarchical ownership structure, where the parent LLC holds control over its subordinate series or sub-LLCs. Within a series LLC, owners have the flexibility to establish an unlimited number of sub-LLCs. Originating in Delaware in 1996, this type of LLC has gained acceptance in various states. While certain states do not allow for the formation of series LLCs, they do permit out-of-state series LLCs to conduct business within their jurisdiction.
